1. Scope and Business-to-Business Restriction

These Webshop Terms of Service ("Webshop Terms") apply to all orders placed through shop.lino-biotech.com (the "Shop") operated by lino Biotech AG, Soodstrasse 52, 8134 Adliswil, Switzerland (VAT/UID CHE-425.756.211).

The Shop sells exclusively to commercial entities, research institutions, universities, hospitals, and other professional or business users acting in the course of their trade, business, craft, or profession. The Shop does not sell to consumers within the meaning of Directive 2011/83/EU of the European Parliament and of the Council (as amended by Directive (EU) 2023/2673), the Swiss Federal Act against Unfair Competition (UWG), or comparable consumer-protection legislation in other jurisdictions. The statutory 14-day right of withdrawal granted to consumers does not apply.

By placing an order, you confirm that you are acting in a professional or business capacity and that the products will be used solely for research, manufacturing, quality control, or other professional purposes. Orders identified as placed by consumers will be cancelled and refunded.

2. Research Use Only

All products sold through the Shop, including the MACS Matchmaker instrument, mologram chips, samplers, and related consumables, are supplied For Research Use Only (RUO). They are not intended, validated, or approved for use in diagnostic, therapeutic, clinical, or in-vivo human or animal applications. The buyer is solely responsible for verifying suitability of the products for the intended use and for complying with all applicable laws and regulations.

3. Applicable General Terms and Conditions

All orders placed through the Shop are governed by lino Biotech AG's General Terms and Conditions of Sale, which form an integral part of every order and prevail over any conflicting terms of the buyer.

Key terms include, without limitation:

  • Payment terms: NET 30 days from invoice date
  • Currency: CHF base, presented in CHF, EUR, USD, or GBP at checkout
  • Incoterms: EXW (Ex Works) Adliswil, Incoterms® 2020, unless otherwise agreed in writing
  • Risk and title: pass to the buyer upon handover at our facility or warehouse
  • Inspection and notice of defects: within five (5) business days of receipt
  • Warranty period: twelve (12) months after risk has passed to the buyer
  • Governing law: substantive laws of Switzerland, excluding conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG)
  • Jurisdiction: Zurich, Switzerland

4. Returns and Refunds

Returns and refunds are governed by our Refund Policy and Sections 7 and 8 of the General Terms and Conditions.

5. Data Protection

Personal data is processed in accordance with our Privacy Policy.
